Sales, Delivery and Refund Policy

Effective September 18, 2026

This policy explains how your business buys from ZincirX: who sells to you, what you can buy, how you pay, how passports reach your account, and the few cases in which a payment is refunded.

It forms part of your contract with us, together with the Terms of Service (https://zincirx.com/terms) and the Data Processing Terms (https://zincirx.com/data-processing). On purchases, payments and refunds, this policy prevails over the Terms of Service.

In this policy, “we”, “us” and “our” mean whichever of the two companies your business contracts with (section 1). “You” means the business that uses ZincirX. An “account holder” is a person with their own sign-in who acts for one or more businesses.

A “passport” is a digital product passport we host for you: a unique identifier with its own QR code and public page. You “issue” a passport by assigning it to a production batch, and from then on its public page shows your record of that batch.

In short: you pay once for as many passports as you choose, nothing renews, and every purchase is final because the passports can be printed the moment you have paid. Section 11 lists the cases in which we refund.

1. Who sells to you

The company that sells to you depends on where your business is established.

  • If your business is established in Türkiye, you contract with ZincirX Bilişim Teknoloji ve Danışmanlık A.Ş., a joint-stock company established in Türkiye, whose address is Gülbahçe Mah. Gülbahçe Cad. İYTE Sitesi No: 1/40 İç Kapı No: 51, 35430 Urla/İzmir, Türkiye.
  • If your business is established anywhere else, you contract with ZincirX Inc., a Delaware corporation with Delaware file number 10758618, whose registered office is at c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States and whose principal office is at c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States.

That company is the other party to your contract. It provides the service and the passports, receives the price and issues invoices as tax law requires, except where a store sells the transaction, as the next paragraph explains.

If you buy inside the mobile app through the App Store or Google Play, Apple or Google is the seller of that transaction and takes the payment under its own terms. The passports, and the service they belong to, are still provided by us under this policy and the Terms of Service.

ZincirX Bilişim Teknoloji ve Danışmanlık A.Ş. operates ZincirX for both companies. If you contract with ZincirX Inc., ZincirX Bilişim Teknoloji ve Danışmanlık A.Ş. runs the service on its behalf, and ZincirX Inc. remains responsible to you for it.

2. Business customers only

We sell only to businesses. A tax number is required to set up a business on ZincirX, and every purchase is made for a business.

By buying, the account holder confirms that they act for that business, for the purposes of its trade or profession, and that they are authorised to buy on its behalf.

Because you buy as a business, the rules that protect consumers do not apply to your purchases. That includes the right to withdraw from a distance purchase that consumers have under the laws implementing the EU Consumer Rights Directive (2011/83/EU) and under Turkish Law No. 6502 on Consumer Protection.

If a law nevertheless treats a particular purchase as a consumer purchase, the rights that law gives cannot be excluded, and nothing in this policy limits them. For that case, the checkout asks you to request expressly that the passports be allocated to your business straight away and to acknowledge that you then lose the right of withdrawal once they are allocated, as far as that law lets the right lapse in this way.

Nor does this section affect a refund that Apple or Google grants under its own terms (section 13).

3. What we sell

We sell passports in one-time prepaid packages. You choose the quantity, from a single passport upward.

In the mobile app, the App Store and Google Play sell passports in fixed pack sizes. These are one-time purchases too.

There is no subscription, no renewal and no trial period. You pay for a package once, and nothing is charged again.

Passports you have not issued do not expire, however you bought them, including through the App Store or Google Play. They stay available to your business until you issue them, for as long as your contract with us continues, unless the purchase they came from is refunded or reversed (sections 11 and 14).

The availability term in section 15 is how long each passport stays online once it is issued. It is not a date by which you must use what you bought.

Fixed-term plans, named Small Business, Mid-Size and Enterprise, for one month or one year, are no longer sold. A plan bought earlier runs until its expiry date.

A fixed-term plan is not a subscription either. It does not renew, nothing is charged again, and it simply ends on its expiry date.

What this policy says about final sale and refunds applies to fixed-term plans in the same way as it applies to passports.

4. No free passports

ZincirX gives no free passports and has no trial period. Every passport your business issues is one it has bought.

Businesses set up before September 18, 2026 received a one-time welcome allowance of free passports. No business receives one now.

Passports from such an allowance work like the ones you buy and, once issued, stay online for the same availability term (section 15).

Nothing was paid for them, so there is nothing to refund.

5. Confirming a purchase before you pay

Before an account holder can use the ZincirX web app, they accept, on behalf of their business, the Terms of Service, this policy and the Data Processing Terms, and confirm that they have read the Privacy Policy (https://zincirx.com/privacy). We record who accepted which version, and when.

Every purchase through our website, and every purchase through the checkout that the mobile app opens in the browser, has a further step. Before going on to payment, the account holder confirms that the passports are allocated to your business as soon as payment succeeds and can be printed straight away, so the purchase is final except as this policy sets out; acknowledges what section 2 says about the right of withdrawal; and chooses what happens to this order's passports if your business leaves ZincirX: kept online for the rest of their availability term, or erased (section 18). Nothing is ticked or chosen in advance, and payment cannot start until all three are done.

The checkout shows what you are buying and the total before you pay, and links to this policy. Nothing is charged until the payment is completed.

We record each confirmation and choice: who gave it, for which business and which purchase, when, and which version of this policy was then in force.

We keep these records for the life of the account and afterwards for the limitation periods that apply to claims under the contract. They are kept even after an account holder's account is closed.

When you buy through the App Store or Google Play, the store shows the price and asks you to confirm the purchase on its own screen before it charges you.

You can save or print this policy and the Terms of Service from their pages at any time.

6. Prices and taxes

Our prices are shown on our website and in the web app before you buy. The price per passport falls in steps as the quantity rises.

What you pay is the total shown at checkout. If you contract with ZincirX Bilişim Teknoloji ve Danışmanlık A.Ş., it is in Turkish lira; if you contract with ZincirX Inc., it is in US dollars.

That total includes any value added tax (KDV in Türkiye) or similar tax that we charge on the sale. Nothing is added to it when you pay, and there is no delivery charge.

Any tax that the law of your own country requires your business to account for itself remains your business's responsibility.

Every price in our checkout is calculated by our server from the quantity you order. A price sent from a browser or an app is never used.

Fees charged by your own bank or card issuer, such as currency conversion fees, are not part of our price.

Where Apple or Google sells the transaction, it shows you the price before you confirm and applies tax under its own terms.

We may change our prices for future orders. A change never affects an order you have already paid for.

7. Payment

You pay by card. If you contract with ZincirX Bilişim Teknoloji ve Danışmanlık A.Ş., the payment is taken by iyzico; if you contract with ZincirX Inc., by Stripe. We do not accept payment in cryptocurrency or in any other crypto asset.

Payments are taken by those payment service providers or, where they sell the transaction, by Apple or Google.

Card details are entered on the payment service provider's own page or form and are handled by that provider. They never reach us: we do not see or store your card number or security code.

An order is complete only when the payment succeeds. If a payment fails or is cancelled, no passports are allocated and no plan starts.

8. Delivery

Nothing is shipped. Passports are delivered to your account.

As soon as the payment succeeds, the passports are credited to the business you bought them for. They appear under “My UUIDs” in the web app and under “My passports” in the mobile app.

A fixed-term plan bought before plans were withdrawn runs for one month or one year from the day its payment succeeded.

The checkout confirms on screen that the purchase is complete. The payment service provider or store that took the payment may also email you its own receipt.

In the mobile app, a store purchase that our server cannot confirm straight away stays open with the store and is sent to us again, and the passports are credited once it is confirmed. A purchase is credited only once, however many times it is sent.

If a payment has succeeded but the passports or the plan do not appear in your account, write to info@zincirx.com with the name of the business, the date and amount of the payment, and the payment reference if you have one. We will credit what you paid for or, if we cannot put it right promptly, refund the payment in full (section 11).

9. Allocation, and why passports cannot be returned

Passports are allocated to the business you buy them for at the moment the payment succeeds. From then on, each one is bound to that business.

An allocated passport appears in the business's list of passports, and its QR code can be downloaded and printed straight away, before the passport is issued.

That is why an allocated passport cannot be returned or exchanged, cannot be moved to another business, and is never allocated to anyone else: its code may already be on your labels.

If you act for more than one business, make sure you are buying for the right one before you pay.

A passport is issued when you assign it to a production batch. From then on, its public page shows your record of that batch.

An issued passport is never moved to another product or reused, even at your request. Mistakes are corrected in its record, with corrections to its attributes and certifications added as revisions, and you can mark its batch as recalled. The Terms of Service (https://zincirx.com/terms) explain how.

10. Purchases are final

Every purchase is final once the payment succeeds. Apart from the cases in section 11, the refund decisions of the stores described in section 13, and purchases made before September 18, 2026 (section 16), we do not refund a purchase or any part of it.

  • We do not refund because you changed your mind or no longer need the passports.
  • We do not refund passports you have not issued, however long you keep them.
  • We do not refund passports you have issued.
  • We do not refund the unused part of a fixed-term plan.
  • We do not refund because an account is closed, your contract ends or you move to another provider.
  • We do not refund when we suspend or close an account because of a serious breach of the Terms of Service or abuse of payments.

We tell you this before you buy, and the checkout on our website, including the one the mobile app opens in the browser, asks you to confirm it before you pay, because the passports are allocated to your business and can be printed the moment the payment succeeds.

Unissued passports do not expire, so passports you do not need now stay available to your business for later.

This rule never makes exporting your data, switching to another provider or having your data erased depend on a payment (section 18).

11. When we refund

Whatever else this policy says, a payment is refunded in the following cases. For a purchase made through the App Store or Google Play, section 13 explains who pays the refund.

  • A charge made in error. If you were charged twice for the same order, charged an amount other than the total you confirmed, or charged without the authority of the holder of the card or bank account used, we refund the amount charged in error in full.
  • Passports paid for but not credited. If a payment succeeded but what you paid for was not credited to your business, and we do not put that right promptly after you tell us, we refund the payment in full.
  • A failure of the service that we cannot remedy. If we cannot provide what you paid for and cannot put it right within a reasonable time, we refund the part of the price that covers what we could not provide.
  • A right the law gives you that no contract can exclude. Nothing in this policy excludes or limits such a right, or our liability for intent or gross negligence.

The third case includes where we stop providing the service, where we cannot keep an issued passport online for its availability term, where we end your contract although you are not at fault, and where you end the contract because of a serious breach by us, including a breach of our obligations on exporting, switching or erasing your data, that we have not put right within a reasonable time after you asked us to.

In that case, we refund the price you paid for each passport not yet issued; for an issued passport we cannot keep online, a share of its price in proportion to the part of its availability term that is lost; and for a fixed-term plan, a share of its price in proportion to the unused part of its term.

Whatever the reason for a refund, you can still export your data and move to another provider, as the Terms of Service describe.

When we refund passports that were not issued, we withdraw them from your business, and they can no longer be issued. A refund is always paid in money, and it never puts a passport's identifier back into use: no identifier is ever allocated to another business or reused.

This section concerns refunds of the price. It does not take away any other remedy the Terms of Service or the law give you if we fail to meet our obligations.

12. How to claim a refund, and how it is paid

To claim a refund, write to info@zincirx.com. Give the name of the business, the email address you sign in with, the date and amount of the payment, the payment reference if you have one, and what went wrong.

We check your claim against our payment records and tell you the outcome and our reasons.

Our decision is not final. A person reviews it again if you ask us at info@zincirx.com, and you keep every other right the Terms of Service and the law give you.

We pay a refund through the service that took the payment, back to the payment method you used, where that service allows it. Where it does not, we pay it by bank transfer to an account in your business's name.

We start the refund without undue delay once the claim is established. How long it then takes to reach you depends on the payment service provider and your bank.

For purchases made through the App Store or Google Play, section 13 explains who pays the refund.

13. App Store and Google Play purchases

Refunds of purchases made through the App Store or Google Play are decided and paid by Apple or Google under their own terms, and we cannot prevent them. To ask for one, use the store's own refund process.

Where a store refers a refund request to us, we decide it under this policy.

A charge made in error in a store's checkout is for that store to put right, because it took the payment.

In the other cases in section 11, if the store does not refund you, we pay the refund ourselves, as section 12 describes.

A refund by a store reverses the purchase. Section 14 explains what then happens to its passports.

14. Reversed purchases and chargebacks

A purchase can be reversed: refunded by Apple or Google, or charged back through your card issuer or bank. When that happens, the following applies.

  • We may withdraw the passports from that purchase that you have not yet issued or, where only part of it was reversed, a matching number of them. A withdrawn passport can no longer be issued.
  • We may end a fixed-term plan whose payment was reversed.
  • Passports from that purchase that you have already issued stay online for their availability term, because products carrying them are already in circulation.
  • If the reversal is later undone, for example because a store reverses its refund or a chargeback is decided in our favour, we restore the passports or the plan.

Nothing in this policy limits your right to dispute a card payment with your card issuer. If you think a charge is wrong, please tell us first so that we can look into it.

To answer a dispute, we may give the payment service provider the record of the purchase, including your confirmation that it was final, when its passports were allocated and which of them have been issued.

We may suspend the account of a business that abuses chargebacks, for example by disputing payments for passports it received and has issued. We tell you what we did and why, unless the law or an authority prevents us, as the Account Closure and Cancellation page (https://zincirx.com/cancellation-policy) describes. Neither a reversed purchase nor a suspension stops the business from getting a copy of its data, moving to another provider or having its data erased.

15. How long issued passports stay online

Each passport you issue stays online for its availability term. The term is 10 years, counted from the day the passport is issued, unless the order it came from states a different term; if that order recorded a later end date, the later date applies.

The term runs from issue, not from purchase, so a passport you issue years after buying it still gets its full term.

The term is recorded with your order when you buy. A later change to our standard term never shortens it for passports you have already bought.

An issued passport stays online for its whole term even if an account holder's account is closed, your business stops using ZincirX, a fixed-term plan ends or your contract with us ends.

There are only two exceptions: specific content that we disable because it is illegal or breaches the Terms of Service, or because a court or authority orders us to; and passports erased when you leave, because erasure was chosen for their order at checkout or because you ask for it, as the Terms of Service describe.

The availability term is what we provide for the price. It is not a statement of how long the law requires a passport for your product to stay available; the rules for your product group decide that.

16. Earlier purchases and changes to this policy

This version of the policy takes effect on September 18, 2026.

Purchases made before September 18, 2026 stay under the terms that applied when they were made, including any refund right those terms gave, such as the 14-day refund guarantee in the earlier version of this policy.

Each later version applies only to purchases made after it takes effect. A purchase is always governed by the version in force when it was made.

The checkout on our website links to the version in force. When we make a significant change, we ask you to accept the new version before you continue using the web app.

17. Invoices

The company you contract with (section 1) issues invoices for the purchases paid to it as tax law requires, made out to your business using the details in its business profile. Please keep those details up to date.

For a purchase through the App Store or Google Play, the store provides the receipt.

We keep payment and invoice records for as long as tax and commercial law require, including after an account is closed.

For a copy of an invoice, write to info@zincirx.com.

18. Leaving, switching and fees

We charge nothing for exporting your data, for switching to another provider or to your own systems, or for having your data erased when your contract ends. The Terms of Service (https://zincirx.com/terms) set out how each of these works.

None of them depends on a payment, on a disputed charge, on whether you have used your passports, or on any other purchase.

You can end your contract at any time, and ending it costs nothing. What you have already paid is not refunded, except as section 11 provides: the price of passports you have not issued, of the unused part of a fixed-term plan and of the rest of the availability term of issued passports erased when you leave stays paid.

What happens to the passports you have issued when you leave is what was chosen for each order at checkout: they stay online for their availability term, or they are erased with the rest of your data. Where no choice was recorded, as for purchases through the App Store or Google Play, they stay online unless you ask us to erase them. You can change the choice for any order when you give notice (section 14 of the Terms of Service).

Where the EU Data Act (Regulation (EU) 2023/2854) applies to your contract, it requires us to tell you, before you contract, about our standard service fees, any early termination penalties and any switching charges. They are these.

  • Standard service fees: the prices of passports, shown before you buy (section 6).
  • Early termination penalties: we charge no fee for ending the contract early. The only early termination penalty is that we keep the price already paid for passports not yet issued, for the unused part of a fixed-term plan and for the rest of the availability term of issued passports erased when you leave. It never delays or prevents your leaving.
  • Switching charges: none, including for exporting your data.
